Terms of Service

These Terms of Service ("Terms") govern your access to and use of SignalLocal. Please read them carefully. By using SignalLocal you agree to them.


0. Definitions

  • "We," "us," "our," "Provider" — The Atlas Project, operator of the Atlas Project portfolio.
  • "Service" / "SignalLocal" — the SignalLocal software-as-a-service made available at signallocal.the-atlas-project.net, including its website, application, APIs, and documentation.
  • "You," "your," "Customer" — the individual or entity that registers for or uses the Service. If you use the Service on behalf of an organization, "you" means that organization, and you represent that you are authorized to bind it.
  • "Account" — your registered credential and workspace for the Service.
  • "Subscription" — a paid or free plan granting access for a recurring term.
  • "Order" — your selection of a plan at signup or checkout, together with these Terms.
  • "Segment" — a monitored combination of a business vertical and a geographic area (for example, "AC repair in Tampa") that you set up in the Service.
  • "Monitored Business" — a local business whose publicly available information the Service tracks within one of your Segments.
  • "Signal" / "Trigger" — an automated, point-in-time technical observation the Service computes about a Monitored Business (see §8).
  • "Output" — Signals, counts, callable lists, exports, and other results the Service produces from public and third-party data.
  • "Third-Party Services" — services not operated by us that the Service relies on or that you connect (e.g., Stripe, Apify, OpenStreetMap/Nominatim, Vercel, Supabase, Resend).
  • "Terms" — these Terms of Service together with any Order.

1. Acceptance of Terms

By clicking "Create account," "Sign up," "Subscribe," "I agree," or a similar control, or by accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not create an account or use the Service.

You represent that you are at least 18 years old and, if acting for an organization, that you have authority to bind it. These Terms form a binding agreement between you and The Atlas Project. We may present a summary of these Terms for convenience, but the full text governs.


2. What SignalLocal Does

SignalLocal is a buying-signal radar for local-marketing agencies and similar professionals. You choose a Segment (a vertical and a city). SignalLocal runs a server-side scan and, on a recurring cadence set by your plan, computes automated technical observations about local businesses in that Segment from publicly available and third-party data sources.

The Service produces two things: (a) counts and headlines about how many businesses in a Segment hit a Trigger in a recent window, shown before you subscribe with one real teaser; and (b) after you subscribe, the callable list — the identified businesses, their public sites, and suggested opening lines — plus an ongoing live radar for that Segment.

The Service exists to help you find your own prospects. It is a prospecting and research tool. It is not a background-check, credit, tenant-screening, or consumer-reporting service, and you may not use it for any purpose covered by the Fair Credit Reporting Act or similar laws.


3. Accounts; Eligibility

3.1 Registration. You must provide accurate registration information and keep it current. You are responsible for all activity under your Account and for keeping your credentials confidential. Notify us promptly at admin@the-atlas-project.net of any unauthorized use.

3.2 Authentication. The Service uses Supabase for authentication (email magic-link or Google sign-in). You are responsible for safeguarding any magic link or OAuth session associated with your Account.

3.3 Eligibility. The Service is intended for business and professional use by users who are at least 18. It is not directed to children (see §16). You may not use the Service if you are barred under applicable law or sanctions (see §17).

3.4 One account per user/entity unless we agree otherwise in writing. You may not share credentials.

3.5 Changes to the Service. We may add, modify, or discontinue features. We will use reasonable efforts to notify you of material adverse changes to paid features. Continued use after a change constitutes acceptance.


4. Plans, Billing, Fees, and Refunds

4.1 Payment processor. All payments are processed by Stripe. By subscribing, you authorize us and Stripe to charge your payment method for the fees associated with your plan, and you agree to Stripe's applicable terms. We do not store full card numbers; card data is handled by Stripe.

4.2 Plans and prices. SignalLocal is offered on the following plans. Annual plans are billed at ten times the monthly price (two months free).

The Free Watcher tier displays a "SignalLocal" badge that cannot be removed; paid tiers may remove it. The plan limits above are enforced by the Service. If your needs exceed your plan's limits, you must upgrade or add Segments.

4.3 Free tier. The Free Watcher tier and the pre-subscription scan may have usage limits and may change or end at our discretion. We will not begin charging a paid rate without your having selected a paid plan.

4.4 Auto-renewal. Paid Subscriptions automatically renew at the end of each billing period (monthly or annual) at the then-current rate until cancelled.

4.5 Price changes. We may change prices. For recurring Subscriptions we will give at least 30 days' notice before a price change takes effect for your next renewal, by email or in-product notice. If you do not agree, you may cancel before the change takes effect.

4.6 Cancellation. You may cancel at any time from your Account billing settings (Stripe Customer Portal) or by emailing admin@the-atlas-project.net. Cancellation takes effect at the end of the current billing period. You keep access until then, after which your entitlement returns to the Free Watcher tier or ends.

4.7 Refunds. Except where required by applicable law, fees are non-refundable, and we do not provide prorated refunds for partial periods, unused time, downgrades, or removed Segments. If mandatory local consumer law grants you a refund or withdrawal right, we honor it to the extent required.

4.8 Taxes. Fees are exclusive of taxes. You are responsible for any sales, use, VAT, GST, or similar taxes, excluding taxes on our net income. Where we must collect tax, it will be added at checkout.

4.9 Failed payments. If a charge fails, we (via Stripe) may retry. We may suspend or downgrade your Account for non-payment after reasonable notice.

4.10 Chargebacks. Please contact admin@the-atlas-project.net before disputing a charge with your bank. If you initiate a chargeback without first contacting us, we may suspend your Account pending resolution.

SignalLocal uses flat subscription pricing only. It does not charge a performance fee.


5. Acceptable Use

You agree not to, and not to permit any third party to:

  1. Use the Service in violation of any law, regulation, or third party's rights.
  2. Reverse engineer, decompile, or attempt to derive source code, except where this restriction is prohibited by law.
  3. Resell, sublicense, or provide the Service or its Output to third parties, except that you may use Output for your own prospecting and your own client-facing marketing work (see §7.3 on limits).
  4. Circumvent usage limits, rate limits, plan entitlements, or access controls; probe, scan, or test the vulnerability of the Service without authorization; or attempt to access the locked list data before the payment gate passes.
  5. Upload or submit content that is unlawful, infringing, or that you lack the rights to submit.
  6. Use automated means to extract data from the Service beyond the export and API features your plan provides, or to build a competing dataset or product.
  7. Bulk-republish, resell, or redistribute the underlying business data the Service surfaces (see §7.3).
  8. Misrepresent Output as a factual assertion about any business (see §8), or use Output to harass, defame, or unfairly disparage any business or person.
  9. Interfere with or disrupt the integrity or performance of the Service or the data it contains.

We may investigate suspected violations and may suspend or terminate access for conduct we reasonably believe violates this section or creates legal exposure.


6. Your Content; Intellectual Property

6.1 Your inputs. The main things you submit are your Segment queries (verticals and locations) and Account settings. As between you and us, you retain any rights in what you submit. You grant us a worldwide, non-exclusive, royalty-free license to host, process, and use your inputs solely to provide, secure, and improve the Service for you, including to run scans against the applicable Third-Party Services.

6.2 Your representations. You represent that your use of the Service and of Output complies with law and does not violate third-party rights, including the terms of the data sources described in §7.

6.3 Our IP. The Service — its software, design, text, and the Atlas Project and SignalLocal names and logos — is owned by us or our licensors. Except for the limited right to use the Service under these Terms, no rights are granted to you.

6.4 License to you. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes for the term of your Subscription, including the right to use Output for your own prospecting and client work within the limits of §7.3.

6.5 Third-party trademarks / nominative use. The Service references third-party businesses, platforms, and vendors by name (for example, to identify a business present on a public map, or the platforms it appears on). Those names are the trademarks of their owners and are used only for nominative identification. We are not affiliated with, endorsed by, or sponsored by Google, OpenStreetMap, any Monitored Business, or any other third party named in the Service.

6.6 Feedback. If you send us suggestions, we may use them without restriction or obligation to you.


7. Third-Party Services and Data

7.1 Sources we rely on. SignalLocal computes Signals from: (a) an HTTP HEAD probe of a business's website to observe reachability and HTTP status; (b) Google Maps business data retrieved via Apify (for example, search-result rank position, public review count and average rating, listing name/owner field, and a paid-ads indicator); and (c) OpenStreetMap / Nominatim public map data on the keyless tier. These sources are operated by third parties, are governed by their own terms, and may be incomplete, out of date, or inaccurate.

7.2 OpenStreetMap / ODbL attribution. Where the Service displays data derived from OpenStreetMap, that data is © OpenStreetMap contributors and made available under the Open Database License (ODbL). Attribution is displayed on pages that show OSM-derived data. You must preserve any required attribution and comply with the ODbL if you reuse OSM-derived data.

7.3 Google Maps data via Apify — your obligations. The Google Maps business data surfaced through Apify is third-party data. You acknowledge and agree that:

  • your use is subject to the applicable third-party data and platform terms;
  • you may use the data only for your own prospecting and client-facing marketing work;
  • you may not bulk-republish, resell, redistribute, or sell the underlying business dataset, or build a competing directory or dataset from it;
  • SignalLocal provides no license to the underlying third-party data beyond your permitted internal use; and
  • you are responsible for how you contact any business whose details you obtain, including compliance with anti-spam, telemarketing, and do-not-call laws.

7.4 Business-contact data, not consumer profiles. The information SignalLocal surfaces is publicly available business-contact information about local businesses, gathered for a business-prospecting purpose. It is not intended to be, and you must not use it as, a consumer profile or a consumer report.

7.5 No control over third parties. We are not responsible for the availability, accuracy, or acts of Third-Party Services, and their failure or change may affect the Service.


8. What a "Signal" Is — Automated Technical Observations (Important)

8.1 Signals are automated, point-in-time technical observations — not statements of fact about a business. Each Signal is computed by software comparing snapshots of publicly available technical and listing data over time. Specifically, the five Triggers are:

  • site-down — the business's website returned a failing or unreachable HTTP status on several consecutive automated HEAD checks;
  • off page one — the business's observed Google Maps search-result rank position moved from within the top results to outside them;
  • lost reviews — the business's public review count decreased, or its average rating fell by a threshold, between snapshots;
  • new owner — the owner/name field on the business's public listing changed between snapshots;
  • started ads — the paid-ads indicator on the business's public listing changed to active.

8.2 A Signal is a technical measurement, not a conclusion about the business. A Signal describes what the Service observed in third-party data at a point in time. It is not an assertion of fact about any business's quality, finances, competence, conduct, ownership, or circumstances, and it is not a statement that the business is failing, struggling, poorly run, or has done anything wrong. Automated observations can be wrong: a "site-down" reading may reflect a temporary outage, a firewall, or a source error; an "off page one" or "lost reviews" reading may reflect a change in a third party's data rather than anything about the business; a "new owner" reading may reflect a listing edit rather than an actual change of ownership.

8.3 You may not republish Signals as factual claims about a business. You may use Signals internally to prioritize your own outreach. You may not publish, forward, or present a Signal (or any Output) to a third party as a statement of fact that a business is failing, has lost business, has changed hands, or the like. If you communicate with a business, you are responsible for what you say and for verifying anything you assert. You — not the Provider — bear all responsibility and liability for how you characterize a business based on Output, including any defamation, disparagement, unfair-competition, or similar claim.

8.4 No guarantee of accuracy, completeness, or freshness. We make no guarantee that Signals, counts, callable lists, or any Output are accurate, complete, current, or free of error, and cadence (weekly/daily/hourly by plan) means data is inherently point-in-time and may lag reality.


9. Accuracy Disclaimer (Output)

The Service produces Output using software, public data, and third-party data. Output is provided for informational and prospecting purposes and may be incomplete, out of date, or incorrect. Output is not professional, legal, financial, or investment advice of any kind, and is not a consumer report. You are responsible for reviewing, verifying, and deciding whether and how to rely on or act on Output.


10. Warranty Disclaimer

THE SERVICE, OUTPUT, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUTPUT — INCLUDING ANY SIGNAL, COUNT, OR CALLABLE LIST — WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE. WE DO NOT WARRANT ANY PARTICULAR RESULT, INCLUDING ANY NUMBER OF LEADS, CLIENTS WON, OR REVENUE EARNED.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.


11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

11.1 Exclusion of certain damages. NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

11.2 Cap. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (a) THE TOTAL FEES YOU ACTUALLY PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (b) ONE HUNDRED U.S. DOLLARS ($100).

11.3 Application. THESE LIMITS APPLY TO ALL THEORIES OF LIABILITY (CONTRACT, TORT, STATUTE, OR OTHERWISE) AND ARE AN ESSENTIAL BASIS OF THE BARGAIN. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you; in that case our liability is limited to the least extent permitted.

11.4 Third-party and republication outcomes. We are not liable for the acts, omissions, or data of any Third-Party Service, nor for any consequence of how you use, characterize, or republish Output about a business, including any claim by a Monitored Business arising from your outreach or statements.


12. Indemnification

You will defend, indemnify, and hold harmless The Atlas Project and its owners, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your inputs and your use of the Service or Output; (b) your republication of, or the way you characterize, any Signal or Output about a business (including defamation, disparagement, unfair-competition, and privacy claims); (c) your violation of these Terms, applicable law, or third-party rights (including data-source terms, anti-spam, telemarketing, and consumer-protection rules); and (d) your outreach to, and relationships and transactions with, businesses and your own clients. We may assume the exclusive defense of any matter subject to indemnification, at your expense, and you will cooperate.


13. Term; Suspension; Termination

13.1 Term. These Terms apply while you have an Account or use the Service.

13.2 Termination by you. You may terminate by cancelling and closing your Account. §§4.6–4.7 (cancellation/refunds) apply.

13.3 Suspension/termination by us. We may suspend or terminate your access, with or without notice, for (a) breach of these Terms or the Acceptable Use section, (b) non-payment, (c) legal or security risk, or (d) conduct that may harm us, other users, or third parties (including misuse of Output about businesses). Where practical and lawful, we will give notice.

13.4 Effect. On termination, your license to use the Service ends. We will make your data available for export for a limited period where feasible, then delete or de-identify it on our ordinary cycle, except records we must retain by law.

13.5 Survival. Sections that by their nature should survive (including §§4.7–4.8, 6, 8–12, 14–19) survive termination.


14. Governing Law and Venue

14.1 Governing law. These Terms are governed by the laws of the State of New York and applicable U.S. federal law, without regard to conflict-of-laws rules. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

14.2 Venue. Subject to §15, the state and federal courts located in New York have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there.


15. Dispute Resolution

15.1 Informal resolution first. Before filing any claim, you agree to contact us at admin@the-atlas-project.net and attempt in good faith to resolve the dispute for at least 30 days.

15.2 Forum. Any dispute will be resolved exclusively in the state or federal courts located in New York, as set out in §14.2, and each party waives any objection to that venue. Each party waives any right to a jury trial to the extent permitted by law.


16. Children

The Service is not directed to individuals under 18, and we do not knowingly collect personal information from them. If you believe a minor has provided us personal information, contact admin@the-atlas-project.net and we will delete it.


17. Export, Sanctions, and Trade Compliance

You represent that you are not located in, and are not a resident or national of, any country or region subject to comprehensive U.S. sanctions, and that you are not on any U.S. government restricted-party list. You will not use the Service in violation of U.S. export-control or sanctions laws. We may block or terminate access to comply.


18. Notices; Assignment; Force Majeure; Miscellaneous

18.1 Notices to you may be sent to your Account email or posted in-product. Notices to us go to admin@the-atlas-project.net. 18.2 Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. 18.3 Force majeure. Neither party is liable for delay or failure due to causes beyond reasonable control. 18.4 No waiver. A failure to enforce is not a waiver. 18.5 Relationship. The parties are independent contractors; these Terms create no agency, partnership, or joint venture. 18.6 No third-party beneficiaries, except indemnified parties under §12.


19. Modifications; Severability; Entire Agreement

19.1 Modifications. We may update these Terms. If we make a material change, we will provide notice by email or a conspicuous in-product notice at least 15 days before it takes effect (or as required by law), and we will update the "Last updated" date. Non-material changes take effect when posted. Your continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and cancel under §4.6.

19.2 Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the rest remains in effect.

19.3 Entire agreement. These Terms, together with the Privacy Policy and your Order, are the entire agreement between you and us regarding the Service and supersede prior agreements on the subject.
